Unilateral Pricing Policy

BLOCK Risers, Inc. (the Company) develops and sells world-class skateboard accessories, which it sells through various channels. The Company has built a reputation for delivering innovative, high-quality products and support to its customers, and the Company has determined that distributing products in a manner consistent with its premium brand image is an important part of how the Company competes against other skateboard and longboard suppliers. The Company has therefore adopted the following unilateral price policy (the Policy) to maintain the Company's high quality image and brand goodwill. The Company has adopted this Policy unilaterally and will enforce it strictly.

BLOCK Risers Unilateral Price Policy

The Company may distribute BLOCK Risers product(s) through one or more independent resellers that it has authorized to sell its products (Authorized Resellers). Authorized Resellers are the only independent resellers permitted to resell the Company's products. The Company will determine which resellers are Authorized Resellers at its sole discretion. The Company may de-authorize a previously Authorized Reseller at any time, at its sole discretion, without advance notice and without assuming any liability to itself.

The Company will, without liability to itself, cancel all orders and will indefinitely refuse to accept any new orders from any Authorized Reseller that advertises, offers, or sells any Company products in a manner that the Company deems inconsistent with the Company's brand. This includes, but is not limited to, the following types of unauthorized sales activities:

  • Advertising the Company's products in a manner that the Company deems inconsistent with its brand.
  • Selling the Company's products to purchasers for secondary resale.
  • Selling the Company's products for export (directly or indirectly).
  • Selling the Company's products through an Internet site other than the reseller's own digital storefront.
  • Selling the Company's products at a net retail sales price less than the suggested retail price established and announced by the Company from time to time (the Suggested Retail Price as provided in a UPP Product List).
  • Failing to respond promptly and adequately to customer complaints or inquiries.

The Company believes that each of these unauthorized sales or advertising tactics is likely to damage the investment that the Company has made in offering high-quality products and service. This list is not exhaustive, and the Company reserves its right to exercise its own independent discretion as to the accounts with whom it will deal.

The Company may modify this Policy at any time. This Policy applies to first-quality goods only. The Policy does not apply to distressed merchandise and closeouts as labeled by the Company. The Company's Suggested Retail Price may be affected by promotions announced by the Company or may change during designated promotional periods.

THE POLICY IS NOT A CONTRACT. The Company will not discuss any conditions of acceptance related to this Policy, as it is non-negotiable and will not be altered for any reseller. The Company does not solicit and it will not accept any assurance of compliance with this Policy. Nothing in this Policy shall constitute an agreement between the Company and any reseller that the reseller will comply with this policy.

COMPLAINTS AND COMMENTS. The Company's sales personnel have no authority to modify or grant exceptions to this Policy. The Company's sales personnel are strictly prohibited from seeking or accepting any assurance of compliance with this Policy. All questions regarding the policy should be directed in writing to:

The Company does not seek complaints or comments from its accounts about the pricing practice of any other account, and the Company will not discuss the business dealings of any account with any other account.
